Terms of Service

These Terms of Service ("Terms") govern your use of emoji.fan (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
emoji.fan is an online platform where users buy, bid on, trade, and collect digital emoji collectibles. In these Terms, "we", "us", and "our" refer to emoji.fan. You can reach us at hi@emoji.fan.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using emoji.fan you represent that you meet this requirement. The Service is not directed to anyone under 18, and we do not knowingly allow them to register.
3. Your account
- You are responsible for activity under your account and for keeping your password secure. Notify us immediately of any unauthorised use.
- Your username is public and permanent. You may not choose a username that is offensive, obscene, improper, infringing, impersonates another person or entity, or is otherwise prohibited. We may reclaim or change usernames that breach this rule.
- Providing an email is optional but, until you verify it, we cannot send password resets, receipts, or notifications. Some features depend on a verified email.
4. What you are buying
"Owning" an emoji on emoji.fan means holding a record of ownership of a collectible within the Service. Emoji are part of the Unicode Standard and are not owned by us or by you. Buying, winning, or trading an emoji on emoji.fan grants you no intellectual-property rights in the underlying character, image, or font, and no rights outside the Service.
Emoji collectibles have no inherent or intrinsic value. They are not currency, securities, or an investment, and any price reflects only what users are willing to pay. Their value may go down as well as up, may be zero, and amounts you pay may not be recoverable. Do not purchase emoji expecting any financial return.
5. Auctions, bids, and offers
- A new emoji is released for auction on a recurring basis. You may place bids on the live auction and "silent" bids on unreleased emoji that activate when they are released.
- Bids are binding offers. If you hold the winning bid when an auction closes, you agree to purchase the emoji at that price, and your saved payment method will be charged.
- If the winner's payment fails, we will retry the charge a limited number of times. If it continues to decline, the winner forfeits the emoji and the next-highest bid is marked the winner and charged in their place; this may repeat down the bids until a charge succeeds, or the emoji returns to the pool if none do.
- For emoji that are already owned, you may make an offer to the current owner. Offers are binding while pending and expire after a set period if not accepted. If an owner accepts your offer, your payment method is charged and the emoji transfers to you.
- We may cancel, suspend, or re-run an auction, or reverse a transaction, where we reasonably suspect error, fraud, or a violation of these Terms.
6. Payments, fees, and payouts
- Payments are processed by Stripe. By providing payment details you agree to Stripe's terms. We do not store full card numbers.
- Prices are charged in the currency shown at the time of the transaction. Applicable taxes may be added.
- When you sell an emoji in a peer-to-peer trade, we deduct a platform commission before paying out the remainder. To receive payouts you must complete onboarding with Stripe.
- Because emoji collectibles are delivered immediately on a successful transaction, all sales are final and payments are non-refundable except where required by law or at our discretion (for example, to correct a clear error).
- You must keep a valid payment method on file to bid. Repeatedly failing to pay for winning bids or accepted offers (defaulting) is a breach of these Terms and may result in restrictions on bidding or suspension or termination of your account.
7. Acceptable use
You agree not to: break the law; infringe others' rights; attempt to manipulate auctions or prices; use bots or automated means to access the Service except as we permit; interfere with or probe the Service's security; or harass other users. We use bot-protection measures and may suspend or terminate accounts that violate these Terms.
8. Account closure
You may delete your account at any time from your settings, subject to settling any open auctions, bids, or offers first.
We reserve the right to suspend or terminate your account, and to remove any content or username, at any time, without notice, and for any reason or no reason, including (without limitation) where we believe you have violated these Terms or to protect the Service or other users. Where you have an unsettled balance owed to you at termination, we will make it available to you except where prohibited by law or where termination relates to fraud or abuse.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or that any collectible will retain value.
10. Limitation of liability
To the fullest extent permitted by law, emoji.fan will not be liable for indirect, incidental, or consequential losses, and our total liability arising out of or relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or £100. Nothing in these Terms limits liability that cannot be limited by law.
11. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and your continued use of the Service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, except where mandatory local law provides otherwise.
